The Federal Reserve Board on Friday announced the adoption of a final rule implementing several of the reporting, disclosure and corporate governance requirements of the Sarbanes-Oxley Act of 2002 for those state member banks that have a class of securities registered under the Securities Exchange Act of 1934. The final rule, like the interim rule it replaces, requires such state member banks to comply with any rules adopted by the Securities and Exchange Commission under designated sections of the Sarbanes-Oxley Act. The final rule is attached.
