Description:

Form TA-W is used by entities wishing to deregister as a transfer agent. The information collected includes the company name, business address, information about why the entity is withdrawing its registration, and information about successor transfer agents, legal actions, and unsatisfied judgements.

Purpose:

The Federal Reserve uses the information to determine whether the transfer agent’s existing registration should be cancelled.

Background:

Under section 17A(c)(4)(B) of the Securities Exchange Act of 1934 and the rules and regulations thereunder, a registered transfer agent may, upon such terms and conditions as the appropriate regulatory agency for such transfer agent deems necessary or appropriate or in the public interest, for the protection of investors, withdraw from registration by filing a written notice of withdrawal with such appropriate regulatory agency.

Respondent Panel:

State member banks and their subsidiaries, bank holding companies, savings and loan holding companies, and certain nondeposit trust company subsidiaries of bank holding companies. Reporting is required.

Frequency:

A registrant that ceases to be a transfer agent may file a deregistration with the Board at any time.

Public Release:

Information supplied on this form will be available for inspection by any interested person.
